Abcam customer reviews terms and conditions

1. These terms and conditions (“Review Terms”) apply to you when submitting a review to Abcam Ltd, Discovery Drive Cambridge Biomedical Campus, Cambridge CB2 0AX (“Abcam”) through Abcam’s website: www.abcam.com (the “Website”).
2. By submitting a review to Abcam you are expressly accepting these Review Terms.
3. You represent and warrant that, when submitting reviews, you are acting for purposes relating to your trade, business, craft or profession. When acting on behalf of your employer or a business, you represent and warrant that:
      a. you have full legal authority to bind your employer or that business; and
      b. you agree to these Review Terms on behalf of the business that you represent.
   
   Submitting a Review 
4. You can only submit a review if you have
   a. purchased a product directly from Abcam or an authorised Abcam distributor; or
   b. been provided with a free sample of product directly from Abcam. 
5. You can only submit one review per product, application and species combination, even if you have bought more than one unit of the product.
6. You must have registered an account on our Website to submit a review.
7. Reviews must be submitted from a form on your account page through the Website.
8. Your review must contain your first-hand experience of using the product and must be genuine, truthful and accurate.
9. Your review must provide:
   a. Full experimental details
   b. Images of your experimental results
   c. A star rating (1-5) 
10. Images should be submitted as either GIF, JPEG, TIFF or PNG at a resolution of 300dpi and with a file size of < 1Mb.
    
    Moderating Reviews 
11. Abcam has the right (but not the obligation) to moderate, edit or amend any material submitted as part of a review (including making any necessary changes or additions to ensure that the review is compliant with all applicable laws).  
12. If Abcam believes that any submitted information is incorrect, inconsistent or an image is not of a high enough quality, Abcam may request further information, or request that you amend your review before it is accepted for publishing.
13. Abcam reserves the right, at its sole discretion, to not publish a review if:
    a. in its reasonable opinion, it is scientifically incorrect; 
    b. it does not contain all information required under paragraph 9;
    c. its content is in breach of the provisions of paragraph 15 or
    d. it is a duplicate review and/or contains duplicate images. 
14. Abcam reserves the right to remove a review from the Website without notice after publication at its sole discretion.
    
    Review content 
15. By submitting a review you represent and warrant that your submission complies with our Website Terms of Use, and:
    a. you own the content (including images) or have been granted the necessary rights to submit the content (including images) to Abcam;
    b. you have not submitted the content (including images) to Abcam previously;
    c. the content (including images) is not defamatory and does not infringe any applicable laws;
    d. use of the content (including images) by Abcam will not infringe any third-party rights (including but not limited to intellectual property rights); 
    e. the content (including images) does not contain any false, misleading, harmful or unlawful material; and
16. By submitting a review, you grant Abcam, its affiliates, licensees and distributors, a perpetual, worldwide, irrevocable, royalty-free, sublicensable and transferable right to use, reproduce, copy, modify, adapt, edit, delete in part or in its entirety, publish, translate, create derivative works from, publicly display, sell and/or distribute your review and any material submitted to Abcam (including any images) in any media for any purpose whatsoever (including but not limited to advertising and commercial purposes). You acknowledge and agree that Abcam shall be entitled to bring claims and proceedings against any third party on your behalf with respect to any misuse of your review by a third party (including, but not limited to, unauthorised use of the review). If Abcam commences proceedings against a third party, you acknowledge and agree that Abcam shall be entitled to claim against that third party for (amongst other things) any loss suffered or likely to be suffered by you. Abcam shall be entitled to deduct any and all reasonable costs incurred in pursuing such proceedings from any damages awarded in respect of such claim, and shall remit to you any remaining amounts of any damages awarded in respect of loss suffered by you in respect of such claim following such deduction. 
17. You agree not to share your review or associated images with any other third parties without the prior written agreement of Abcam.
    
    Abcam Loyalty Programme 
18. Once your review is published on the Website, you will be entitled to receive a reward (Reward points) in accordance with the Abcam Loyalty Programme Terms and Conditions.  Reward points will appear in your account, redeemable for money off future Abcam orders.
19. You will receive up to 220 Reward points for each review of each product, plus any additional bonus points such as if it is your first time review or every fifth review
20. Reviews that Abcam declines to publish will not entitle you to receive any Abcam Reward points.
    
21. Use of the Reward points must be in accordance with the Abcam Loyalty Programme Terms and Conditions.

Liability 

1. You shall indemnify and hold Abcam harmless against any losses, costs, liabilities and expenses suffered or incurred by Abcam, its affiliates, licensees and/or distributors as a result of or in connection with:
   a. any breach by you of these Review Terms (including any warranties and representations); and 
   b. any content (including images) submitted by you as part of your review.
2. Nothing in these Review Terms excludes or limits Abcam’s liability for: (a) death or personal injury caused by Abcam’s negligence; (b) fraud or fraudulent misrepresentation; and (c) any matter in respect of which it would be unlawful for Abcam to exclude or restrict its liability.
3. In no event shall Abcam be liable to you for any loss of profits, loss of revenue, loss of contracts, failure to realise anticipated savings or for any indirect or consequential loss, whether arising from negligence, breach of contract or otherwise. 
4. Abcam’s total liability to you for any loss or damage arising out of or in connection with these Review Terms, whether in contract, tort (including negligence) or otherwise shall be limited to £100.   
   
   General 
5. We may withhold or remove any Reward points if any of the following apply:
   a. if you fail to comply with any provision of these Review Terms;
   b. your review is not published in accordance with paragraph 13; or
   c. if Abcam believes you have included any defamatory, false, misleading, harmful or unlawful content in your review. 
6. Abcam only uses your personal information in accordance with its privacy policy.
7. Abcam reserves the right to amend these Review Terms from time to time, and the Review Terms published on the Website when you submit a review will apply to you.
8. If any provision of these Review Terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect.
9. These Review Terms and the documents referred to herein constitute the entire agreement and understanding between you and Abcam relating to the subject matter of this Agreement and supersede any previous agreement or understanding between you and Abcam in relation to such subject matter. 
10. Abcam's failure to insist upon or enforce strict performance of any condition shall not be construed as a waiver of any provision or right. 
11. These Review Terms shall be governed by and construed in accordance with English law and any disputes arising (contractual or non-contractual) shall be subject to the non-exclusive jurisdiction of the courts in England and Wales.
